Terms of Service

1. Acceptance of Terms

By accessing or using Mermind’s website, services, or applications (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including visitors to our website, waitlist participants, and anyone who signs up for early access or future releases.

2. About Mermind

Mermind is a neutral operational intelligence layer for e-commerce. It is designed to help you understand what is happening across your e-commerce operations, identify issues before they cause damage, and act on information that matters.

Mermind is not a decision-making tool. It is an informational service that provides insights and observations about your operations. You remain responsible for all decisions, actions, and outcomes related to your business.

3. Changes to Terms

We may update these Terms at any time. When we make material changes, we will update the “Effective Date” at the top of this page and post the new Terms on our website. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

We encourage you to review these Terms periodically to stay informed about your rights and obligations.

4. Use of the Service

Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service.

Your Account

When you sign up for the waitlist or create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your information
  • Keep your account credentials confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its underlying infrastructure

Availability

Mermind is currently in early development. The Service is provided “as is” and “as available.” We do not guarantee that the Service will be available at all times or that it will function without interruption.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

5. Intellectual Property

The Service, including all content, features, functionality, and underlying technology, is owned by Mermind AI, Inc. and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. No right, title, or interest in the Service is transferred to you.

“Mermind” and our logo are trademarks of Mermind AI, Inc. You may not use our trademarks without our prior written permission.

6. User Content

“User Content” means any information, data, or material you submit to the Service, including but not limited to store connections, configuration data, and feedback.

You retain ownership of your User Content. By submitting User Content to Mermind, you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, store, display, and process your User Content solely to provide and improve the Service.

You represent and warrant that:

  • You own or have the right to use your User Content
  • Your User Content does not violate the rights of any third party
  • Your User Content does not contain viruses, malware, or harmful code

7. Third-Party Services

Mermind may integrate with third-party platforms, services, and tools (“Third-Party Services”) to provide the Service. We are not responsible for the practices, content, or privacy policies of any Third-Party Services.

Your use of Third-Party Services is governed solely by your agreement with those third parties. We encourage you to review the terms and privacy policies of any Third-Party Services you connect to Mermind.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT MAKE ANY REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERMIND AI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID US, IF ANY, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mermind AI, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and Mermind AI, Inc. regarding the Service and supersede all prior agreements, representations, and understandings.
